These Terms and Conditions govern the use of the website uzcoknives.com and the purchase of products offered for sale under the UZCO brand by Axentis Developments Sàrl-S. By accessing the website or placing an order, you agree to be bound by the terms set out below.

1. SCOPE OF APPLICATION

These Terms and Conditions apply to all orders placed through the website and to all customers worldwide. They prevail over any other conditions unless expressly agreed otherwise in writing by Axentis Developments Sàrl-S.

2. PRODUCTS AND SAFETY

Descriptions: Product descriptions, photographs, and specifications are provided as accurately as possible. Minor variations in appearance, natural wood grain, or finish may occur and do not affect product conformity.
Safety Warning: Products sold under the UZCO brand are sharp instruments. By purchasing, the customer acknowledges that these products are inherently dangerous and agrees to exercise extreme caution during use and maintenance.

3. MINIMUM AGE AND LEGAL COMPLIANCE

Age Requirement: By placing an order, the customer confirms they are at least eighteen (18) years old.
Local Laws: Knives are subject to varying local regulations. It is the sole responsibility of the customer to ensure that the purchase, possession, and use of the product comply with the laws of their country, state, or local jurisdiction.

4. ORDERING AND PAYMENT

Account Accuracy: The customer agrees to provide current, complete, and accurate purchase and account information for all purchases.
Address Errors & Re-shipping Fees: It is the customer's responsibility to ensure the shipping address is correct at the time of order. Axentis Developments Sàrl-S shall not be held liable for delivery failures or loss of goods due to incorrect or incomplete addresses. If a package is returned to us or needs to be rerouted due to a customer error, the customer will be responsible for all additional shipping fees and administrative costs incurred for re-delivery.
Right of Refusal: We reserve the right to refuse or cancel any order in case of payment issues, suspected fraud, pricing errors, or abnormal ordering behavior.

5. PRICES AND TAXES

EU Customers: Prices include applicable VAT for the 27 EU member countries.
International Customers: For customers outside the EU, prices are displayed without VAT. Customs duties, import taxes, or local charges are the sole responsibility of the customer.
USA: Orders shipped to the mainland United States are dispatched from the US and do not incur customs duties.

6. SHIPPING AND DELIVERY

Orders are typically dispatched within 24 to 48 business hours.
Shipping is carried out from Luxembourg or the United States (Michigan), depending on the destination.
Delivery times are indicative. Axentis Developments Sàrl-S is not liable for delays caused by carriers, customs, or force majeure.

7. RIGHT OF WITHDRAWAL (EU CUSTOMERS)

In accordance with EU consumer law, customers located within the European Union have the right to withdraw from their purchase within 14 days of receiving the goods, without giving any reason. To exercise this right, the customer must inform us via the contact form on the website. The 30-day return policy mentioned in Section 8 includes and extends this statutory right.

8. RETURNS AND REFUNDS

Returns must be requested within thirty (30) calendar days from the date of delivery via the return form on the website. Products must be returned in their original condition and packaging. Refunds are issued to the original payment method.

9. WARRANTY

Two-Year Limited Warranty: Axentis Developments Sàrl-S provides a contractual warranty on all UZCO products for a period of two (2) years from the date of delivery. This warranty applies to all customers regardless of their geographical location.
Scope of Coverage: This warranty is strictly limited to the repair or replacement of products that exhibit documented manufacturing defects in materials or workmanship. The decision to repair or replace a defective product is at the sole discretion of Axentis Developments Sàrl-S.
Exclusions and Limitations: This warranty does not apply to, and Axentis Developments Sàrl-S shall have no liability for:
- Normal wear and tear resulting from intended use.
- Damage arising from improper use, negligence, or accidents (including, but not limited to, prying, dropping, or use on non-compliant surfaces).
- Damage resulting from improper maintenance or storage (e.g., rust, corrosion, or exposure to dishwashers).
- Products that have been modified, altered, or repaired by any third party without prior written authorization.
Remedies and Hierarchy: In the event of a valid warranty claim, Axentis Developments Sàrl-S shall first attempt to bring the product into conformity via repair or replacement. A refund or price reduction shall only be considered if (i) repair or replacement is impossible, (ii) cannot be completed within a reasonable timeframe, or (iii) would cause significant inconvenience to the customer.
Statutory Rights: This contractual warranty is provided in addition to, and does not affect, any mandatory statutory warranty rights available to consumers under applicable local laws (including the 2-year legal conformity warranty for EU residents).

10. LIABILITY LIMITATION

Axentis Developments Sàrl-S shall not be held liable for any damage, injury, or loss resulting from:

Misuse or improper handling of sharp instruments.
Negligent storage or use contrary to the product’s intended purpose.
Indirect or consequential damages to the extent permitted by law.

11. INTELLECTUAL PROPERTY

All content (text, images, logos, designs) is the exclusive property of Axentis Developments Sàrl-S. Any reproduction or exploitation without prior written consent is strictly prohibited.

12. PROHIBITED CONDUCT

Fraudulent Content: Creating, publishing, or distributing fake, misleading, fraudulent, or defamatory reviews, comments, or public statements regarding Axentis Developments Sàrl-S, the UZCO brand, or its products.
Malicious Misrepresentation: Impersonating the brand, its employees, or affiliated entities in any public or private forum.
Automated Access: Using automated systems, bots, scraping tools, or similar data-mining technologies to extract data or content from the website.
Cybersecurity: Attempting to interfere with, disrupt, or compromise the security, integrity, or proper functioning of the website.
Legal Action: Axentis Developments Sàrl-S reserves the right to remove any fraudulent content and to take appropriate legal action for damages resulting from defamatory or false statements.

13. GOVERNING LAW AND DISPUTE RESOLUTION

Jurisdiction: These terms are governed by the laws of Luxembourg. Disputes shall fall under the exclusive jurisdiction of the courts of Luxembourg.
Online Dispute Resolution: The European Commission provides an Online Dispute Resolution (ODR) platform for EU consumers, accessible at: https://ec.europa.eu/consumers/odr.
